Commercial, Garden Crafts, Associated Products and Education.

POLICIES RELATED TO THE WICHITA GARDEN SHOW CONTRACT AND THAT AS AN

It is understood that a $200 deposit is to be provided to the Wichita Garden Show at the time of set
up and that the deposit will be returned at the end of the Wichita Garden Show when all terms of this contract are fulfilled.
It is also understood that the booth in question is considered leased until payment conditions
as outlined on this contract are met.
It is understood that refunds of booth lease fees, due to cancellations by exhibitor, will be made on a descending percentage of total booth fee by month. August cancellation - 80% of total paid booth
lease refunded; September - 70%; October - 60%; November - 50%; December - 40%; January -
30%; Until February 15 - 20%; after February 15th - 0% refund for any reason.

that the exhibitor understands the terms of that paragraph.
Policies that affect exhibitors:
This Show is a presentation of the Wichita Garden Show Association, hereinafter referred to as
the “Garden Show Board”, which shall have the right, which it hereby expressly reserves, to
make such rules and regulations as it shall deem advisable to implement this contract and
insure the success of the Show, and to change and amend the same from time to time, which
shall govern the proper conduct of said Show and the use of this contract and the space herein
reserved by the Exhibitor. The Garden Show Board’s application, interpretation and
construction of said rules and regulations shall be final and conclusive.
The Garden Show Board reserves the right to exclude exhibits which are or may become
objectionable and contrary to the general character of the Show until the objectionable
elements are removed by the Exhibitor. The Garden Show Board’s determinations are final
and conclusive. This restriction and prohibition extends to persons and their conduct, all printed
matter, and all other things which are part of the Exhibitor’s display to the end that each exhibit
will be in keeping with the good character of the Show.
If the specified premises shall be destroyed or so damaged as to render them untenable or unfit
for use for the purposes specified, by fire, or the elements, including but not limited to blizzard,
rain, wind or ice, or any other cause, closure of facility due to home land security codes or acts of terrorism or the threat of terrorism or should any occurrence of circumstances make it impossible
for the Garden Show Board to fulfill its part of this contract, all monies paid hereunder become the
sole and exclusive property of the Garden Show Board. In the event of such cancellation, the
Garden Show Board is released of any and all claims for damages, loss costs, or expenses sustained
or incurred by the Exhibitor by reason of such cancellation.
IMPORTANT: Exhibitor understands that the Wichita Garden Show Association Board is not
obligated to pay refunds of money if for some reason, such as a severe blizzard, the show is
poorly or not attended at all.
____INSTALLATION AND REMOVAL OF EXHIBITS
A. Exhibits are to be installed and removed at the expense of the Exhibitor.
B. No exhibit shall be installed until receipt-evidencing payment in full for space
reserved has been presented.
C. The Association will provide backdrop fence panels for some booths where they are considered
needed or necessary and as long as the Association budget provides for backdrop fence; no
side paneling will be available. An Exhibitor may use side paneling if the paneling is provided
by the Exhibitor, THE HEIGHT MAY NOT EXCEED 3 FEET OR A HEIGHT MUTUALLY
AGREED TO BY THE ADJACENT EXHIBITOR.
D. No exhibitor may obscure any portion of adjacent or neighboring booths, either with signs
or props or impinge on adjoining booths’ rights. Banners on the back or sides of any
exhibit must not be intrusive to the adjoining exhibits. Two-sided signs are not permitted
on the back of an exhibit. Signs hung in the air by agents of Century II, at the cost of the
exhibitor, must be hung directly over the respective booth or it must be removed.
E. All exhibits shall remain in place, shall be manned at all times during said Show, and shall
not be dismantled until after the official closing of the Show AT 6:00 PM on SUNDAY. In the
event an Exhibitor sells out of product, the exhibitor is required to retain samples for display,
take orders, maintain the display and man the booth for the remainder of the Show. The
Board can exercise discretion in allowing a booth to be unmanned due to religious
preference on Sunday.
F. The Exhibitor is responsible for any damage to any property of or the structure of Century II.
Repairs will be made at the expense of the Exhibitor.
G. No vehicles are to be parked on the west loading dock area during the Show without
approval from Show Manager. No vehicles will be parked by the south door of Expo Hall.
The City has now declared the area by the south door of Expo Hall a fire zone and
appropriate signs have been placed indicating that it is a “no parking” area. TICKETS
WILL BE GIVEN AND/OR VEHICLES TOWED for both the loading dock and the south door.
____ELECTRICAL SERVICE
All electrical hook ups, either 110 or 220 volt, will be charged appropriate fees and will be
paid for by the Exhibitor. All hook ups of 220 volt must be installed by the Century II
Electrician at the expense of the Exhibitor and must comply with all City codes and rules
of Century II. Requests for electrical hook-ups can be made in January after the WGS
____USE OF SPACE
A. The space in the Exhibitor’s booth is to be used solely for the purposes
set forth in the Exhibitor’s contract with the Garden Show Board.
B. All decorations must be flame-proofed or of fireproof material. All trucks must have batteries
disconnected, and gas tanks taped securely and bottle gas tanks must be empty; valves must be
open and all displays must comply with any other regulations of the fire department. Fire exits
must be kept open at all times.
C. The Exhibitor shall not allow nails, screws, or tacks to be driven into the Century II walls or
pillars, nor deface the same in any manner. No posters or banners can be attached to the
walls or pillars by the exhibitor. Banners will be installed by staff of Century II at the expense
of the Exhibitor.
D. NO EXHIBITOR IS ALLOWED TO USE ANY MICROPHONE WITHIN A
BOOTH FOR THE PURPOSE OF ENTICING EXHIBITORS OR EXPLAINING THE
EXHIBITOR PRODUCT. ALL MICROPHONE DEVICES ARE PROHIBITED.
E. Disturbing noises, including excessively loud music, used for attracting
attention to an exhibit, which are objectionable to the WG Show Board and/or
Staff, are prohibited.
F. Under no circumstances is any exhibit to be removed from the halls during
continuance of the Show without the permission of the WG Show Board
and/or Staff.
G. All aisles must be kept clear of exhibit material.
H. No sales of food, that can be consumed on the premise, will be allowed.
Small samples of products sold in the booth are allowed.
The WG Show Board reserves the right to review each exhibit in the Show. If an exhibitor
fails to comply with Show rules, the Show reserves the right to notify the exhibitor of a
deadline to comply with. If, at the time of the deadline, needed corrections have not been
made, the Show will make necessary corrections (such as arranging for plant material
be placed in said space) at the exhibitor's expense or shut the booth down. The Show
reserves the right to ban an exhibitor from subsequent shows for failure to comply with
Show rules.
The Exhibitor shall neither assign this contract, sublet in any fashion any part of the space
herein specified, nor display the name of any other firm contributing to said exhibit without
the consent of the Garden Show Board in advance. TO CLARIFY: NO BUSINESS OR
VENDOR MAY BE IN YOUR BOOTH (SALES PEOPLE OR REPRESENTATIVES)
UNLESS THAT BUSINESS IS PART OF YOUR BUSINESS AND THE PRODUCTS ARE
PRODUCTS YOU SELL AT YOUR NORMAL PLACE OF BUSINESS. If you borrow a prop
or plant from a vendor, that vendor’s representative may not be in your booth. The Exhibitor
shall not distribute literature from any business that is separate from that of the Exhibitor’s business. BUSINESSES WORKING IN OR HELPING IN A BOOTH MUST BE A BUSINESS THAT IS PART
OF OR NORMALLY PARTICIPATES IN THE EXHIBITOR’S BUSINESS. TWO BUSINESS MAY
NOT SHARE A BOOTH SPACE. EACH BOOTH OCCUPANT MUST HAVE AN INDIVIDUAL
CONTRACT. TWO BUSINESSES CANNOT SHARE A TEN BY TEN FOOT BOOTH UNDER
ANY CIRCUMSTANCES.
Neither the Wichita Garden Show Board, nor Century II Management, nor the City of Wichita shall be responsible for the loss, theft, or damage of, or to the property of the Exhibitor. The Wichita Garden Show will provide night security to assist exhibitors in the safe-guarding of the Exhibitor’s property but the Exhibitor waives any claims against the Wichita Garden Show Board or the Century II Management for liability, loss or damage to the exhibitor’s property.
The Century II Management’s and/or the Wichita Garden Show’s liability for personal injury shall be limited to the extent of its insurance coverage for such personal injury and liability. The Exhibitor waives all claims against the Century II Management and/or Wichita Garden Show for any amount in excess of such insurance coverage. See attached for new insurance requirements for 2009. The Wichita Garden Show Board shall have no liability for personal injury. IT IS UNDERSTOOD THAT THE LIABILITY INSURANCE POLICY CARRIED BY THE WICHITA GARDEN SHOW DOES NOT COVER EXHIBITORS IN ANY WAY. CONSIDERING THE NATURE OF THE WORLD TODAY, IT IS TO YOUR BENEFIT TO BE COVERED BY LIABILITY INSURANCE.
If default is made by the Exhibitor in any of the covenants of this contract, or of any of the Rules and Regulations which are expressly made a part hereof, or any rules and regulations which shall be promulgated by the Wichita Garden Show Board, this contract may, without notice, be terminated by the Wichita Garden Show Board and the Wichita Garden Show Board may retain all monies received on account of rental as liquidated damages, and the said Wichita Garden Show Board may thereupon, with or without process of law, remove the said Exhibitor, its employees, agents, or servants, and all of its articles of merchandise and other personal property from Century II.
The exhibitor, its employees and representatives shall observe and comply with all Federal,
State, County, City and Century II management laws, charters, ordinances, rules, regulations
and laws of the State, County, City and Building in which said Show is presented.
The actual occupancy of the space contracted for by the exhibitor is of the essence hereof, and
in the event the Exhibitor does not occupy said space, or fails to comply in any other respect
|with the terms of this contract, the Wichita Garden Show Board shall have the right, without
notice to the Exhibitor, to occupy or cause said space to be occupied in any manner it deems
best, without such occupancy working a forfeiture of the sums agree to be paid and the
covenants to be performed by the exhibitor under the terms of this contract, and in connection
therewith, the Exhibitor expressly agrees to pay the full sum agreed to be paid for said space
regardless of whether it has been occupied by the Exhibitor or not, and the Wichita Garden
Show Board shall have no obligation to re-let such space.
IF A BOOTH IS RESERVED, VERBALLY OR BY CONTRACT, FOR A TIME PERIOD OF
OVER 30 DAYS, AND IS THEN CANCELLED AT A LATER DATE, ALL MONIES DUE OR
RECEIVED TO SECURE THE SPACE BECOME THE PROPERTY OF THE WICHITA GARDEN
SHOW. As a courtesy, when all booths at the Show have been leased, the Wichita Garden
Show will attempt to re-lease the space. If the booth is re-leased, at the discretion of the
Board, a percent of the total initial monies will be refunded. In the event of a refund, it is
understood that refunds of booth lease fees due to cancellations by exhibitor will be made
on a descending percentage of total booth fee by month:
July cancellation – 90% of total paid for the booth lease will be refunded;
August cancellation -- 80%; September – 70%; October –60%;
November--50%; December – 40%; January – 30%;
Until February 15 – 20%; After February 15th – 0% refund for any reason.
It is also understood that the booth in question is not considered leased until payment
conditions as outlined on this contract are met.
The Garden Show Board shall have a lien for the payment of all sums due under the terms of
this contract upon any and all personal property of the Exhibitor, which is or may be put in the
building in which the Show is present, and such lien may be enforced by and at the option of
the Garden Show Board for the non-payment of any sum due by the taking and sale of said
property at public or private sale after ten days notice, in writing, of the time and place thereof
has been given by mail to the Exhibitor at the address of the Exhibitor set out in this contract.
Legal and court fees incurred by the Garden Show Board in exercising the lien shall be paid by the Exhibitor.
business card advance tickets, exhibitor passes, novelties, or for any reason, will be billed to the
exhibitor by the WG Show Association within a reasonable time frame after the show and EVERY FOURTEEN DAYS THEREAFTER. Exhibitors are hereby notified that, after the initial statement, a
$15 processing fee will be added to each subsequent statement until payment is received.
If the Exhibitor fails to make either of said payments at the time appointed, all rights of the
Exhibitors hereunder shall cease and terminate and any payments made by him on account
hereof prior to said time shall be retained by the Garden Show Board as liquidated damaged
for the breach of this contract, and the Garden Show Board may thereupon resell said space.
Exhibitors that fail to display will not receive a refund.
Exhibits pertaining directly and indirectly to the lawn, flower & garden industry or horticulture
supplies, products or services will be permitted in the show as per additional and stated criteria
set forth by the Garden Show Board. Exhibitors are limited to independent dealers or those primarily involved in lawn, flower, garden and horticultural products and services.
TO THE YARD AND HORTICULTURE INDUSTRY. Up to 20% of each booth space may be
devoted to products which are normally displayed and sold in the exhibitor's place of business
but are not directly related to the yard, garden and horticulture industry. HOWEVER, ALL
PRODUCTS INCLUDED IN THE 20% CONTINGENCY MUST BE APPROVED BY THE SHOW
MANAGER, EXHIBIT COMMITTEE OR BOARD. The Board may exclude sale and display of
THE SHOW.
EXHIBITORS SHALL NOT EXCEED THE BOUNDARIES OF CONTRACTED SPACE OR AS
BOUNDARIES OF YOUR BOOTH. THERE WILL BE NO SELLING IN THE AISLES. BOOTH
SIZE MUST BE MADE LARGE ENOUGH TO HANDLE PUBLIC OBSERVATION FOR
DEMONSTRATIONS. CUSTOMERS MUST BE INSIDE THE BOOTH WHEN YOU ARE SELLING
TO THEM.
Exhibitors shall have LIVE plant materials in their booth equal to 10% of floor space and
as per other criteria established by the Garden Show Board. On Thursday following opening
day, the Garden Show Board shall have the right to place appropriate plant material in Exhibitor’s
booths not meeting criteria, at the Exhibitor’s expense and the Exhibitor forfeits the deposit.
EXHIBITORS WILL BE ASSIGNED A SET-UP TIME. IF ADJUSTMENTS ARE NEEDED THEY
CAN BE ARRANGED WITH THE SHOW STAFF. HOWEVER, ALL EFFORTS WILL BE MADE
BY THE SHOW STAFF TO PROHIBIT EXHIBITORS FROM SETTING UP IN EXPO HALL
UNTIL MONDAY AT 4:00 PM AND THE OTHER HALLS UNTIL MONDAY MORNING PRIOR
TO SHOW OPENING TO ALLOW GARDEN CONTRACTORS ADEQUATE TIME TO CONSTRUCT GARDENS.
All commercial exhibits, within 150 feet of the south large overhead doors of Expo Hall and
within 100 feet of elevators or major doors in Convention and Exhibition Hall, must be torn
down and removed by 9:00 AM ON MONDAY AFTER SHOW CLOSES.
Show closes will be fined $500 late tear-down penalty. All exhibitors are encouraged to tear-
_____TRASH REMOVAL AT TEAR DOWN
Show will set a trash dumpster in Convention and Exhibition Halls so exhibitors will easily
know what to do with trash during tear down. If you bring it into the Show, you are
responsible to take it back with you or put it in a proper dumpster, including mulch. If

small, normal trash will be removed by the Century II staff and the Exhibitor of that booth

MANAGER OR ANYWHERE ON CENTURY II PARKING LOTS.
Business cards stamped on the back and used by exhibitors for give-away tickets may
not be sold by exhibitors to anyone. They are for exhibitors to give to valued or potential
clients/customers only for marketing promotion. Exhibitor passes are to be used for entrance
by exhibitors or exhibitors’ staff. Exhibitor passes are not to be used as gift passes.
It is understood that as an Exhibitor we will be held responsible for any and all employees
and/or workers present during show set up, show hours and show tear down. This includes
delivery people bringing objects for your use and family members.
The Wichita Garden Show is an alcohol-free association. This policy applies to
alcohol on the Show Office premises, during set-up, while the Show is going on, during
tear down. If any member of the Board, Association, Exhibitors, Garden Contractors,
Volunteers or Staff is seen or suspected of consuming alcoholic beverages, they will
be asked to leave the facilities, barred from the Show and/or fired. No booth
refunds will be made and exhibitors will be barred from future shows.
_____BOOTH INTEGRITY
It is understood that all exhibits and products displayed will be in good taste and will not
contain materials or props that are deemed by the Wichita Garden Show Association as
being morally or socially unacceptable. The Wichita Garden Show Association will ask for
cooperation in altering or removing objectionable items or will have the right and option to
remove them from the exhibitor's booth.
NO BOOTH IS CONSIDERED ASSIGNED UNTIL APPROPRIATE PAYMENT IS RECEIVED
BY THE SHOW. In order to be eligible for a 10% discount, it is understood that this contract,
|along with 100% of booth rental fee (less discount), and the signed form indicating that you
will abide by the rules of the show, must be submitted WITHIN 5 DAYS OF BOOTH SELECTION
AND TOTAL PAYMENT MUST BE MADE before the booth is considered secured. The early
the initial pages of the form indicating you understand the WG Show rules) AND HALF PAYMENT
FOR THE SPACE TO BE LEASED must be presented within 5 days of booth selection. Payment
must be made before the booth is secured. The half-payment offer expires DECEMBER 31, 2008.

Selection of booths and final assignments will meet the rules and policies of the Show
Board of Directors. The Board of Directors reserves the right to make the final selection in
the overall best interest of the layout of the show as a whole.

booth floor space. In other words, one plant that is 1 sq. ft. at the base, but is 10 ft. tall does
not meet the 10% criteria. Plants can be sitting on the table, on equipment, props, or on the floor.
The WGS Association reserves the right to review each booth and after a warming, put live
plant material in each booth at the Exhibitor's expense.
